Job description
Responsibilities
- Provide internal legal advice for new and existing Barings investment funds across Luxembourg, Irish and UK platforms, including advice with respect to their design, development, launch and maintenance, including regulatory considerations.
- Build relationships with, and work alongside, business teams and other members of the Legal Team, as appropriate.
- Manage relationships with external counsel to maximise effectiveness and efficiency of external advice and assistance.
- Primarily manage the legal elements of new fund projects, including preparation of key fund documentation and investor negotiations.
- Review fund documentation in relation to a variety of fund structures and asset classes including real estate, private debt, capital solutions and high yield.
- Act as an internal escalation point for high-level legal issues and assist with the identification of general corporate, tax, risk, insurance, regulatory, legal andpliance issues.
- Develop and implement systems and processes designed to ensure consistent business support and optimal use of internal resources.
Qualifications
Qualified lawyer with 3 - 6 years PQE gained in the funds / investment management department of a reputed UK, US or international law firm or asset manager.
Qualification in England and Wales, Ireland or Luxembourg preferred but qualifications from other jurisdictions may be considered.
Luxembourg qualification would be especially weed.
- Understanding of a variety of fund structures, and relevant regulation including AIFMD and UCITS. Appreciation of ESG and investment management legal issues.
- Experience in reviewing and drafting funds documentation including offering memoranda,
investment management agreements and investor side letters.
- Strong interpersonal andmunication skills that allow you to naturally develop and maintain effective relationships with various stakeholders at all levels of the organisation and external professional contacts.
- Superior organisational skills and the ability to managepeting workloads of diverse matters in a timely manner.
- Willingness to go beyond existing areas of expertise and work in new areas relevant to the business, particularly in a landscape of regulatory change.
- Willing to support, accept and implement change, and be involved in organisational improvement.
