Job description
The corporate and M&A; practice is seeking to recruit an associate with a minimum of three years’ PQE on a fixed term contract until the end of June 2025 and will work as part of a close-knit team assisting one of the firm’s biggest clients.

Practice overview
Our corporate and M&A; practice consist of 18 partners, five senior counsel, 51 associates, one head of knowledge, one senior knowledge lawyer, one knowledge lawyer, 12 trainees, one paralegal and one knowledge & research officer.
The team covers a broad range of work including private equity transactions, public and private M&A;, corporate finance (including equity capital markets) and general corporate advisory.
Clients include some of the world's most successful and ambitious businesses and business leaders, and range from private equity houses, secondary funds and investment banks,
to UK and international corporations and family offices and entrepreneurs - across a variety of markets.
The team
The client team consists of two senior associates, one associate and a paralegal.
The role
The role will support the client team in the daily negotiation of non-disclosure agreements for one of the firm’s biggest clients.
The client is a private investment firm focused mainly on private debt investments, including :
- acquisition financing;
- refinancings / direct financings; and
- syndicated loans / secondary debt trades / high-yield bonds.
Key responsibilities will include :
- reviewing and negotiating non-disclosure agreements (and related documentation, including release letters);
- advising on restrictions imposed by previously signed non-disclosure agreements,
as well as applicable securities and market-abuse regulations; and
- regular liaison with the client, both over the phone and by email.
Other notes :
hours are relatively fixed.

The candidate
The successful candidate will have at least three years’ PQE, preferably from a highly regarded law firm. They will have a background in capital markets, corporate, banking, finance or investment management.
In addition, they will meet the following criteria :
- strong academic qualifications from degree upwards;
- the ability to communicate clearly and succinctly with clients and counterparties;
- responsive and dependable;
- strong project management skills;
- excellent attention to details;
- commercial awareness;
- resourceful; and
- self-motivated and eager to take on responsibility.
