Private Equity Associate
LONDON
Salary : £125,000 - £150,000
Education Level : 3-6 years Post Qualification Experience (PQE)

The Role :
The firm is seeking a Private Equity Associate (3-6 years PQE) to join its thriving London team. The role will involve working closely with private equity sponsors, portfolio companies, and management teams on various complex transactions.
Key Responsibilities :
- Advising on auction and buyout processes, majority and minority investments, bolt-ons, and exits.
- Drafting and negotiating preliminary documentation, including Exclusivity Agreements, Heads of Terms, Management Equity Term Sheets, and more.
- Preparing Share Purchase Agreements (SPAs), Disclosure Letters, Investment Agreements, and Articles of Association.
- Conducting legal due diligence and managing ancillary documentation.
- Supporting the broader corporate practice and contributing to the firm’s private equity strategy.
Skills & Experience Required :
- Experience in multiple private equity transactions , with expertise in drafting and negotiating transaction documents.
- Excellent technical and drafting skills.
- Market knowledge of typical terms and structures in private equity deals.
- Strong interpersonal and communication abilities, including presenting to stakeholders.
- Ability to work both independently and collaboratively as part of a team.
- Resilience under pressure, maintaining calm and focus during demanding situations.
- E xperience working in the London office of an international law firm, Magic Circle or US International "Big Law" firm.
