The British Private Equity and Venture Capital Association is the industry body for the UK private equity and venture capital industry.

Our membership of over 700 firms represents the overwhelming number of UK-based private equity and venture capital firms and their advisers.

The BVCA has over 30 years of experience representing the private equity industry to parliament, the European Commission, the media, regulatory and other statutory bodies at home, across Europe and around the world.

We promote the industry to entrepreneurs and investors, as well as provide services and best practice standards to our members.

The Role

An exciting,





varied new role has arisen at the BVCA. We are looking for a Contracts, Risk and Compliance Manager to support the business on a full range of in house legal, risk and compliance matters.

With the remit covering a variety of contracts work, data protection and managing risks related to Cyber security including being a key contact for items such as Incident Response, this role will suite someone who is happy to assist with 'whatever crosses the desk'

This role will be responsible for reviewing contracts, T&C;’s and NDA’s; gathering data and completing insurance renewals, acting as the Associations GDPR Officer, managing the risk register and risks related to Cyber security, including being the key contact for items such as Incident Response as well as overseeing ESG policies and other best practice GRC areas.

Reporting into the COO / CFO,





this is a great opportunity for a lawyer looking to make their first move in house and undertake a broader role than a classic in-house legal role or a more experienced lawyer who is looking to work part time hours over 5 days (this working pattern has some flexibility).

Key Responsibilities

- Drafting, reviewing, and supporting the negotiation of commercial contracts and other agreements relating to the client's operations and activities, including procurement and non-disclosure agreements.
- Provide legal and contractual advice and support to senior management
- Provide advice and support on regulatory compliance matters, ensuring that the company operates in accordance with applicable laws and regulations
- Assisting the COO in the development and implementation of Association policies and procedures to mitigate risks and ensure compliance with best practices.
- Corporate compliance matters including anti-bribery and corruption,





modern slavery and privacy law and regulation
- Collaborate with cross-functional teams to support various business initiatives and projects, providing proactive legal guidance and solutions.
- Support the Operations team with ESG requirements and compliance
- GDPR Officer for the BVCA with responsibilities including : advising the Association on its obligations under, and to monitor its compliance with the GDPR;

be the key contact point for the Data Protection Authorities and employees; reviewing DPIA’s for new suppliers, preparing model clauses for international data transfers and reviewing GDPR T&C;’s.

- Working with the Operations team to ensure employees undertake appropriate GDPR training and comply with Data audits.
- Responsible for maintaining the Associations risk register






- Manage risks related to Cyber security and key point of contact for items such as Incident Response
- Gather data and complete insurance renewals
- Regularly reviewing and updating company handbooks and policies
- Train non legal employees to self review on contracts

Requirements

- England & Wales qualified lawyer / solicitor with at least 3 years PQE
- Strong understanding of contract law, corporate governance, and regulatory compliance principles.
- Excellent verbal and written communication and interpersonal skills, with the ability to effectively collaborate with internal and external stakeholders at all levels of the organization.
- Demonstrated ability to prioritize and manage multiple projects simultaneously
- Sound judgment and decision-making skills, with a keen attention to detail






- Highly motivated, self-starter who takes initiative and works with a sense of ownership.
- A team player that will be happy working in a relatively flat structured and agile team where everyone has to roll their sleeves up.
- Advanced proficiency with Microsoft Office suite of tools (Word, Excel, PowerPoint, SharePoint, etc.).
- Ability to handle confidential or sensitive matters.
- Previous in house experience would be advantageous
- Experience in the Private Equity / Venture Capital Industry is advantageous.
